1. Independent Contractor Status

You are an Independent Contractor — not an employee.

This Agreement does not create an employer-employee relationship. The Driver is an independent contractor and, as such, is not entitled to employee benefits, workers' compensation, unemployment insurance, or any other employment-related benefits.

  • The Driver sets their own schedule and is free to accept or decline delivery requests.
  • Big Asere does not control the manner or means of performing deliveries, only the delivery outcome.
  • The Driver is free to work for other delivery platforms simultaneously.
  • Big Asere will not withhold income taxes, Social Security, or Medicare from the Driver's pay.

2. Services

The Driver agrees to perform local food delivery services in the North Platte, NE area as directed by the Big Asere platform. Services include:

  • Picking up orders from partner restaurants
  • Delivering orders to customer delivery addresses within the service zone
  • Updating delivery status through the Big Asere driver app or Shipday
  • Communicating professionally with restaurants and customers

3. Pay Structure

Driver compensation consists of a base delivery rate, potential bonuses, and 100% of customer tips:

Peak Hour Bonus: +$1.00 per delivery

An additional $1.00 per delivery is paid during peak hours (5:00–8:00 PM Central Time).

Weekly Completion Bonus: $50 for 40+ deliveries in a week

Drivers who complete 40 or more deliveries in a single calendar week (Monday–Sunday) earn a $50 bonus added to that week's payment.

Tips: 100% goes to Driver

All customer tips are passed through 100% to the Driver. Big Asere does not retain any portion of tips.

Base rates and bonuses are subject to adjustment by Big Asere with 7 days written notice. Rates are competitive and reviewed periodically.

3b. Background Check, Documents & Taxes

  • Independent Contractor: Drivers are independent contractors under IRS rules — NOT employees. You control your own schedule, vehicle, and methods.
  • Background check: A background check is required before approval. Big Asere covers the cost of the background check.
  • Required documents: Valid driver's license, current vehicle registration, and current auto insurance must be kept on file. Expired documents result in AUTOMATIC suspension until renewed.
  • Auto insurance: Maintaining adequate auto liability insurance is the Driver's responsibility. Big Asere does not provide vehicle insurance.
  • Tax forms: A W-9 is required before payout. Big Asere issues a 1099-NEC if your earnings exceed $600 in a calendar year. You are responsible for your own taxes.

4. Payment Schedule

Drivers are paid weekly, every Monday, for deliveries completed during the previous calendar week (Monday through Sunday).

Payment methods: Venmo, Zelle, or ACH bank transfer. Drivers must provide accurate payment information. Big Asere is not responsible for delays caused by incorrect payment details.

Tips are included in the weekly payment. All earnings are gross — no deductions are made by Big Asere.

5. Tax Responsibility

You are responsible for your own taxes.

As an independent contractor, the Driver is solely responsible for reporting and paying all applicable federal, state, and local income taxes on earnings from Big Asere.

  • Big Asere will issue a 1099-NEC to Drivers who earn $600 or more in a calendar year, as required by the IRS.
  • Drivers earning under $600 in a year will not receive a 1099-NEC, but all earnings are still taxable income and must be reported.
  • Big Asere strongly recommends setting aside approximately 25–30% of earnings for self-employment taxes.
  • Vehicle expenses, mileage, and certain other business costs may be deductible. Consult a tax professional for guidance.

6. Vehicle & Background Requirements

To be eligible to drive for Big Asere, the Driver must meet the following requirements:

  • Valid driver's license: A current, valid driver's license issued in the United States.
  • Insured vehicle: The vehicle used for deliveries must carry at minimum the liability insurance required by Nebraska law. Proof of insurance may be required.
  • Clean criminal background check: A background check is required prior to approval. Drivers with certain felony convictions may not be eligible.
  • Reliable vehicle: A personal vehicle in safe, functional operating condition.

Important: Big Asere is NOT liable for any accidents, vehicle damage, personal injury, or property damage that occurs while the Driver is performing deliveries. The Driver's personal auto insurance is the primary coverage for any such incidents.

7. Conduct & App Requirements

While performing deliveries for Big Asere, Drivers agree to:

  • Professional behavior: Treat restaurant staff and customers with courtesy and professionalism at all times.
  • Timely pickups: Arrive at the restaurant within the expected pickup window. Notify Big Asere immediately if significantly delayed.
  • No alcohol or impairment: Do not consume alcohol or operate under the influence of any substance while performing deliveries. Zero tolerance policy.
  • Use the driver app: Drivers must use the Big Asere driver app (or Shipday, if directed) while on active deliveries to update order status in real time.
  • Food handling: Handle food orders with care and deliver them in the condition received from the restaurant.
  • Prohibited items: Do not accept or transport orders containing alcohol, tobacco, or any age-restricted goods. Report any such order to Big Asere immediately.

8. Termination

Either party may terminate this Agreement at any time, for any reason or no reason, with no advance notice required — except as described below.

Immediate termination by Big Asere may occur (without advance notice) in cases of:

  • Fraud, theft, or dishonest conduct
  • DUI or operating under the influence while delivering
  • Verified customer complaints involving safety, harassment, or misconduct
  • Repeated failure to complete accepted deliveries
  • Criminal charges arising from delivery-related activity

Upon termination, any earned compensation for completed deliveries will be paid on the next regular payment date.

9. No Exclusivity

This Agreement is non-exclusive. The Driver is free to work for other delivery platforms, gig economy services, or employers simultaneously. Big Asere does not require exclusivity.

Similarly, Big Asere is free to engage other independent contractor drivers without obligation to the Driver.

10. Confidentiality & Customer Data

Customer data encountered during deliveries — including names, addresses, phone numbers, and order details — is strictly confidential.

  • Customer information must not be shared with any third party for any purpose.
  • Customer contact information must not be used for any purpose other than completing the assigned delivery.
  • Screenshots, recordings, or any capture of customer information is strictly prohibited.

Violation of customer data confidentiality is grounds for immediate termination and may result in legal action.

11. Insurance, Accidents & No Benefits

  • No benefits / no workers' comp: As an independent contractor, the Driver receives NO employee benefits — no health insurance, no PTO, no unemployment, and NO workers' compensation from Big Asere.
  • Accidents & injury: The Driver's personal auto insurance is the PRIMARY and sole coverage for any accident, injury, or damage during deliveries. Big Asere is not liable and provides no vehicle or occupational-accident insurance.
  • Current documents: A valid license, current registration, and current auto insurance must be on file. Expired documents trigger AUTOMATIC suspension until renewed.

12. Service Standards, Deactivation & Off-Platform Contact

  • Service standards: The Driver must maintain reasonable acceptance/completion rates, timely pickups and deliveries, professional conduct, and a satisfactory rating.
  • Account deactivation: Big Asere may deactivate the account for fraud, theft, DUI/impairment, harassment or safety complaints, repeated incomplete deliveries, expired documents, or breach.
  • No off-platform contact: The Driver may NOT contact customers outside the platform or for any purpose other than the assigned delivery, nor solicit customers. Violations are grounds for immediate deactivation and legal action.

13. Driver Indemnification & General Provisions

  • Indemnification: The Driver indemnifies and holds Big Asere harmless from claims arising from the Driver's deliveries, vehicle operation, accidents, negligence, misconduct, or breach.
  • Arbitration; class-action & jury-trial waiver: Binding individual arbitration (AAA) in Nebraska; the Driver WAIVES jury trial and any class action, and may opt out within 30 days by emailing support@bigasere.com.
  • Statute of limitations: Claims must be filed within ONE (1) YEAR or be barred.
  • Assignment, severability & entire agreement: The Driver may not assign; Big Asere may. If a provision is unenforceable, the rest remains. This is the entire agreement.
  • Notices, waiver & survival: Notices by email. Non-enforcement is not a waiver. Indemnification, confidentiality, arbitration, tax, and payment obligations survive termination.
  • Electronic signature: Accepting electronically is a binding signature under the E-SIGN Act and Nebraska's UETA.

14. Governing Law

This Agreement shall be governed by the laws of the State of Nebraska. Any disputes arising from this Agreement shall be resolved through binding arbitration or, if both parties agree, in state court in Lincoln County, Nebraska.

Both parties waive the right to participate in class-action lawsuits or class-wide arbitration related to this Agreement.
